1. Identification of Parties and Object

1.1. These Terms and Conditions of Use (hereinafter "Terms") govern access to and use of the Vertio platform, accessible at vertio.ai, operated by Multilingues21 – Traduções e Edições Técnicas Multilingues, Lda. (hereinafter "M21Global" or "Provider"), a private limited company registered in Portugal, with registered office at Rua Febo Moniz, no. 27, 1150-152 Lisbon, Portugal, registered at the Lisbon Commercial Registry under company number 507 983 815, with tax identification number (NIF) PT 507 983 815.

1.2. M21Global is a professional translation company with over 20 years of experience, certified to ISO 17100:2015 and ISO 18587 standards by Bureau Veritas.

1.3. Vertio is a self-service document translation platform with automatic AI-powered quality verification, complemented by professional and certified translation services provided by the M21Global team.

1.4. The user (hereinafter "User" or "Client") is any natural or legal person who accesses, registers with, or uses the services made available on the Vertio platform.

1.5. By accessing or using the platform, the User declares that they have read, understood, and accept these Terms in their entirety. If the User does not agree with any provision, they must refrain from using the platform.

2. Service Levels

2.1. The Vertio platform offers five translation service levels:

2.1.1. Draft – Automatic Translation

a) Automated direct document translation service, without additional verification.

b) Price: €2 per 1,000 words. The exact price is shown to the User before confirming each translation, based on the word count of the submitted document.

c) Delivery time: 1 to 3 minutes (automated processing).

d) This service operates on a self-service basis and does not include automatic verification or human review.

e) As a fully automated service without verification, complete absence of errors is not guaranteed. The User acknowledges and accepts this limitation.

f) Suitable for drafts, internal use, and documents where precision is not critical.

2.1.2. Normal – AI-Verified Translation

a) Automated translation service with verification by a proprietary system. The document is translated and automatically verified — discrepancies are identified and resolved before delivery.

b) Price: €9 per 1,000 words.

c) Delivery time: 3 to 10 minutes (automated processing).

d) This service operates on a self-service basis and does not include human review.

e) As an automated service, complete absence of errors is not guaranteed, although automatic verification significantly reduces their occurrence. The User acknowledges and accepts this limitation.

f) Normal does not replace certified professional translation for documents with legal, medical, regulatory, or other critical requirements where absolute accuracy is essential.

2.1.3. Plus – Verified Translation + Quality Report

a) Includes everything in the Normal tier, plus a detailed Quality Estimation report that identifies problematic segments, assigns scores by category, and provides recommendations.

b) Price: €9 per 1,000 words.

c) Delivery time: 5 to 15 minutes (automated processing).

d) Suitable for those who wish to assess translation quality or decide whether human review is required.

2.1.4. Human – Translation with Professional Review

a) AI translation as a base, reviewed by a professional human translator from the M21Global team.

b) Price: from €90 per 1,000 words, variable depending on the language pair.

c) Delivery: 1 to 2 working days, depending on volume and complexity. Quote within 3 working hours.

d) Does not include ISO certification.

2.1.5. ISO 17100 – Certified Translation

a) Translation by a professional human translator with review by an independent translator, in conformity with ISO 17100:2015.

b) Price and delivery: on request, with dedicated project management by M21Global.

c) Includes issuance of an ISO 17100 certificate.

2.2. The Human and ISO 17100 services are provided directly by the M21Global team and are additionally subject to M21Global's General Terms and Conditions of Sale, to the extent that these do not conflict with the present Terms.

3. Technical Limitations

3.1. The automated services (Draft, Normal, and Plus) are subject to the following technical limitations:

a) Maximum document size: 50 MB;

b) Maximum number of words per document: 20,000;

c) Supported formats: Word (.docx, .doc), PowerPoint (.pptx, .ppt), Text (.txt), JSON (.json), Markdown (.md);

d) 16 active languages: Portuguese (PT/BR), English (UK/US), Spanish, French, German, Italian, Dutch, Polish, Russian, Danish, Ukrainian, Romanian, Swedish, and Finnish. The engine supports over 70 languages, with progressive activation.

3.2. M21Global reserves the right to modify technical limitations at any time, without prior notice, in line with the technological evolution of the platform.

4. Account and Access

4.1. Registration on the platform is carried out by providing a valid email address.

4.2. Authentication is performed via magic link (passwordless): an access link is sent to the User by email at each session. Passwords are neither used nor stored.

4.3. After registration, the User may be invited to complete a 3-question onboarding questionnaire, with the aim of recommending the service level most suited to their usage profile.

4.4. In the authenticated area, the User has access to: dashboard, document upload, translation history, wallet management (balance, transactions, top-up, voucher redemption), and settings (profile and billing).

4.5. The User is solely responsible for the security of access to their email account and, consequently, to their profile on the platform.

4.6. The platform offers a free preview: any visitor may submit a document on the homepage and receive a watermarked preview of the translation. Access to the full translated document requires registration and wallet credit.

5. Wallet, Payments, and Billing

5.1. Prepaid Credits System (Wallet)

a) The platform operates on a prepaid wallet credit system, with no subscription or commitment.

b) Minimum top-up: €10. Maximum top-up: €1,000.

c) Credits are valid for 12 months from the date of the last top-up.

d) Credits are non-refundable once used.

e) Unused credits after the validity period are cancelled with no right to refund or compensation.

f) Before confirming each translation, the User sees the exact price based on the word count.

5.2. Payment Methods

a) All payments are processed through the Stripe platform, subject to Stripe's terms and conditions.

b) Accepted methods: credit card, debit card, MB WAY, Multibanco, PayPal, Google Pay, Apple Pay, Klarna, and Revolut Pay.

c) M21Global never stores payment card data. These are processed exclusively by Stripe, a PCI DSS-certified entity.

5.3. Billing

a) Billing is automatic and processed through TETOnline software, certified by the Portuguese Tax and Customs Authority (AT).

b) An invoice is issued for each wallet top-up.

c) The User may configure their tax identification number (NIF) and billing address in the account settings.

d) Billing data is retained for 10 years, in compliance with Portuguese tax obligations (Article 123 of the Corporate Income Tax Code — CIRC).

5.4. Promotions and Vouchers

a) M21Global may, at its sole discretion, offer launch promotions, discount codes, or vouchers.

b) Promotions are temporary and subject to specific conditions communicated at the time of their availability.

c) Vouchers are single-use per code and may be redeemed at vertio.ai/voucher.

6. Intellectual Property Rights

6.1. Documents submitted by the User for translation remain the exclusive property of the User. M21Global does not acquire any intellectual property rights over the submitted content.

6.2. Documents are used exclusively for the purpose of providing the contracted service and are not used to train artificial intelligence models.

6.3. The Vertio platform, including its translation engine, interfaces, logos, design, and code, constitutes the intellectual property of M21Global, protected by applicable Portuguese and European legislation.

6.4. Reproduction, copying, distribution, modification, or commercial exploitation of any component of the platform is prohibited without prior written authorisation from M21Global.

7. Acceptable Use

7.1. The User undertakes to use the platform lawfully, in compliance with applicable legislation, public order, and good conduct.

7.2. It is expressly prohibited to submit content that is:

a) Illegal, defamatory, threatening, obscene, or discriminatory;

b) In violation of intellectual property rights, personality rights, or any other third-party rights;

c) Containing viruses, malware, or any malicious code;

d) Intended to interfere with the normal operation of the platform.

7.3. M21Global reserves the right to refuse processing of any document that violates these Terms, without any obligation to refund credits consumed.

7.4. In the event of serious or repeated violations, M21Global may suspend or cancel the User's account, without prejudice to other legal measures.

8. Limitation of Liability

8.1. With regard to the automated services (Draft, Normal, and Plus), M21Global accepts no liability for:

a) Errors, omissions, or inaccuracies in the translation, inherent to the automated nature of the service;

b) Direct, indirect, incidental, consequential, or punitive damages arising from the use of automated translations in contexts for which these services are not recommended;

c) Losses resulting from the use of automated translations for legal, medical, regulatory, or other critical purposes.

8.2. For critical documents, M21Global recommends use of the Human (Translation with Professional Review) or ISO 17100 (Certified Translation) services.

8.3. In any event, M21Global's liability is limited to the amount actually paid by the User for the specific service that gave rise to the damage, under the general provisions of law.

8.4. M21Global does not guarantee permanent and uninterrupted availability of the platform; maintenance or technical unavailability periods may occur.

8.5. M21Global accepts no liability for failures or delays caused by third-party service providers, including the payment processor (Stripe) and telecommunications operators.

9. Confidentiality and Security

9.1. M21Global undertakes to maintain strict confidentiality over all documents and information submitted by the User on the platform.

9.2. Documents are processed in a private environment and are not shared with third parties, except to the extent strictly necessary for the provision of the service (as identified in the Privacy Policy).

9.3. Submitted documents are not used to train artificial intelligence models.

9.4. Security measures implemented:

a) Passwordless authentication (magic link) – no passwords stored;

b) Session verification middleware on all protected routes;

c) Rate limiting on API routes;

d) Card data processed by Stripe (PCI DSS compliant) and never stored in Vertio;

e) Preview protected against copying (watermark and copy/paste blocking).

10. Complaints

10.1. For the automated services (Draft, Normal, and Plus), given their automated and self-service nature, no complaints procedure applies in respect of translation quality. The User acknowledges and accepts the inherent limitations of the automated service.

10.2. For the Human and ISO 17100 services, any complaint must be submitted in writing within 10 working days of delivery of the work, objectively identifying the parts of the service considered deficient and providing the alternative text considered correct, pursuant to the applicable provisions of M21Global's General Terms and Conditions of Sale.

11. Account and Data Deletion

11.1. The User may request deletion of their documents at any time.

11.2. Deletion of the account entails deletion of all associated personal data, with the exception of data retained by legal obligation (in particular billing data, retained for 10 years).

11.3. Any remaining wallet credits at the time of account deletion are non-refundable.

12. Amendments to the Terms

12.1. M21Global reserves the right to amend these Terms at any time.

12.2. Amendments will be communicated to the User via the platform and/or by email.

12.3. Continued use of the platform following notification of amendments constitutes acceptance of the new Terms.

12.4. The updated version of the Terms will always be available at vertio.ai/terms.

13. Governing Law and Jurisdiction

13.1. These Terms are governed by Portuguese law.

13.2. For the resolution of any disputes arising from these Terms, the courts of the judicial district of Lisbon shall have exclusive jurisdiction, with express waiver of any other.

13.3. Without prejudice to the foregoing, consumer Users may resort to alternative dispute resolution (ADR) mechanisms, under Law no. 144/2015 of 8 September. For more information, visit the Consumer Portal at www.consumidor.gov.pt.

14. Final Provisions

14.1. The nullity or invalidity of any clause of these Terms shall not affect the validity of the remaining provisions, which shall remain in full force and effect.

14.2. M21Global's failure or tolerance in exercising any right set out in these Terms shall not constitute a waiver of that right.

14.3. In the event of doubt as to the interpretation of these Terms, the Portuguese (European) version shall prevail.
